1. Acceptance of Terms

By accessing or using KnowPrep ("Service") at knowprep.ai, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

KnowPrep is an AI-powered sales intelligence platform that helps B2B sales professionals research accounts, analyze deals, and prepare for meetings. The Service integrates with third-party CRM systems, calendar providers, and call recording tools to surface relevant insights. Features include account research, deal intelligence, daily meeting briefings, and more.

3. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use KnowPrep. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. Account Registration

You must create an account to use most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@knowprep.ai of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

5. Subscriptions and Billing

Certain features of the Service require a paid subscription. By subscribing, you authorize us to charge the payment method you provide via Stripe on a recurring basis at the then-current subscription rate. Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time from your account settings. Refunds are provided at our discretion and subject to our refund policy communicated at time of purchase.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Access data, systems, or networks without authorization
• Transmit spam, malware, or other harmful content
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape or harvest data from the Service in an unauthorized manner
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to compete with KnowPrep or build a substantially similar product
• Interfere with or disrupt the integrity or performance of the Service

7. Third-Party Integrations

The Service allows you to connect third-party services including CRM platforms (Salesmate, HubSpot), Google Calendar, tl;dv, and others. Your use of those integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services. You represent that you have the right to connect those services and share their data with KnowPrep.

8. Intellectual Property

KnowPrep and its original content, features, and functionality are owned by us and protected by intellectual property laws. You retain ownership of any data you input into the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service. AI-generated outputs are provided for your use, subject to applicable law regarding AI-generated content.

9. Confidentiality

You may provide us with access to confidential business information (deal data, CRM records, meeting content) in connection with using the Service. We treat such information as confidential and will not use it for any purpose other than providing the Service, except as required by law or as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND MAY CONTAIN INACCURACIES. YOU SHOULD NOT RELY SOLELY ON AI-GENERATED INSIGHTS FOR BUSINESS DECISIONS WITHOUT INDEPENDENT VERIFICATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KNOWPREP, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless KnowPrep and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting support@knowprep.ai. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, indemnification, and limitation of liability.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, notifying you by email. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the state or federal courts located in the United States, and you consent to personal jurisdiction in such courts.
